Cortayne Commercial provides transaction support to companies undertaking ECM, M&A, restructuring and refinancing transactions.

We work on site closely with management teams and company advisors and help companies and their managements through the often complex and varied process requirements to ensure a that the timetable is achieved. Our support can range from small buy side M&A transactions reviewing due diligence reports and data room documentation to large scale transaction projects requiring on-site support from 3 to 12 months.

Transactions require companies to generate and review large numbers of  reports, contracts, presentations and analysis in order to arrive at how best to present their business to buyers, sellers, advisors and investors and ensure that they maximise value while continuing to run their own business.

Typical documents include:

  • due diligence reports
  • business plans
  • presentations to banks, shareholders, analysts, investors, etc
  • valuations
  • financial reports and IFRS accounts
  • legal agreements: SPA, banking, underwriting, etc
  • analysts reports
  • prospectuses, sale memorandums, shareholder circulars, etc

Cortayne Commercial provides hands on, onsite support to:

  • generate these documents, allowing management to continue to run their business
  • deal with the stream of questions and requests from advisers (financial advisers, lawyers, accountants), shareholders, banks and transaction counter parties
  • discuss and advise how best to address issues and present them to the other parties
  • help with analysis of financial and other information
